Terms of Service

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services on behalf of yourself or an organization. If you accept these Terms for an organization, you represent that you have authority to bind that organization. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

2. The Services

Koban Agent is open-source software that inventories selected files and metadata on enrolled Macs and transmits heartbeat payloads to a configured endpoint. Koban Fleet is our hosted control plane for fleet inventory, diffs, rules, and alerts. Features, limits, and availability may change. We may provide beta or preview features “as is” without service-level commitments unless otherwise agreed in writing.

3. Customer responsibilities

You agree to:

• Deploy Koban Agent only on devices you own or are authorized to monitor.
• Provide any notices and obtain any consents required by applicable law, employment agreements, or internal policy before installing the sensor on employee or contractor Macs.
• Configure fleet rules responsibly and review alerts before taking enforcement action.
• Keep integration credentials, API keys, and webhook endpoints secure.
• Use the Services only in compliance with applicable laws and these Terms.

4. Acceptable use

You may not:

• Reverse engineer, interfere with, or attempt to gain unauthorized access to the Services or related systems.
• Use the Services to monitor individuals or systems without proper authorization.
• Upload malware, probe vulnerabilities without permission, or overload infrastructure.
• Misrepresent affiliation with Koban or resell the Services except as expressly permitted.
• Use the Services in a manner that infringes intellectual property or privacy rights of others.

We may suspend or terminate access that violates these Terms or poses a security risk.

5. Fees and payment

Paid Koban Fleet plans are billed according to the pricing shown at signup or in an order form. Fees are non-refundable except where required by law or expressly stated. We may change prices on renewal with reasonable notice. Failure to pay may result in suspension of hosted Services.

6. Open-source Agent software

Koban Agent is open-source software licensed under Apache 2.0. Your use of the Agent is governed by our Agent End User License Agreement, which supplements Apache 2.0, and by Apache 2.0 itself for rights to the source code. If there is a conflict between these Terms and Apache 2.0 regarding the Agent source code, Apache 2.0 controls. These Terms govern your use of Koban Fleet and this website, not your rights under Apache 2.0 to modify or redistribute the Agent.

7. Intellectual property

We retain all rights in the Services, branding, documentation, and underlying technology except for open-source components and content you provide. You retain ownership of your data. You grant Koban a limited license to host, process, and display your data solely to provide and improve the Services.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and will use it only for purposes related to the Services. This section does not restrict use of information that is public, independently developed, or rightfully received from a third party without restriction.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOBAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KOBAN DOES NOT WARRANT THAT THE SERVICES WILL DETECT EVERY CHANGE ON A DEVICE, PREVENT ALL SECURITY INCIDENTS, OR OPERATE WITHOUT INTERRUPTION OR ERROR.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOBAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. KOBAN'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO KOBAN FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES.

11. Indemnification

You will defend and indemnify Koban against claims arising from your use of the Services, your data, your violation of these Terms, or your failure to obtain required authorization to deploy the sensor on enrolled devices.

12. Term and termination

These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate access for material breach, non-payment, or risk to the platform. Upon termination, your right to use hosted Services ends, though provisions that by nature should survive will remain in effect.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes arising from these Terms, except where prohibited by applicable consumer protection law.

14. Changes

We may modify these Terms by posting an updated version on this page. Continued use after the effective date of a change constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
